Terms of Service

1. Acceptance
These Terms of Service (the "Terms") form a binding agreement between you ("you" or "Customer") and SouthCentral Electrical Components & Consulting LLC, a Louisiana limited liability company ("SCECC", "we", "us", "our"). By accessing this website, booking a consultation, placing an order, or otherwise engaging our services, you agree to be bound by these Terms. If you do not agree, do not use the website or our services.
2. Services and Scope
SCECC provides manufacturing consulting, commissioning, start-up and training services, standards and product-development consulting, and related manufactured-equipment support for utility, industrial, and commercial clients. SCECC does not offer professional engineering services and is not a firm of professional engineers. Individual credentials of our principals, where listed, reflect personal education and licensure and do not constitute an offer of engineering services by SCECC. If a project requires a signed or sealed engineering deliverable, we will refer you to a separately-licensed professional engineer.
3. Website Use
You agree to use the website only for lawful purposes and in a manner that does not infringe the rights of, or restrict or inhibit the use of, the website by any third party. You may not attempt to probe, scan, or test the vulnerability of the website, bypass any security or authentication measure, or access data not intended for you. We may suspend or terminate access for any reason and without notice.
4. Appointments
Consultations are scheduled through our booking page. The full published fee is charged at the time of booking via a third-party payment processor (currently Stripe, Inc.). Appointments are confirmed by email following successful payment. Rescheduling or cancellation is governed by our Cancellation Policy. Time quoted for a consultation is an estimate; we do not guarantee completion of any specific deliverable within the scheduled window.
5. Products and Orders
Prices, descriptions, and availability of products are as shown at the time of purchase and may change without notice. We reserve the right to refuse or cancel any order, including orders that we reasonably believe to be fraudulent, in error, or outside our service area. Title and risk of loss for physical goods pass to you upon delivery to the carrier.
Digital products. Digital products (reports, training materials, PDFs, etc.) are delivered through a tokenized download link emailed after payment. All digital sales are final and non-refundable once the download link has been issued.
Physical products. Shipping costs and estimated timelines are displayed at checkout. We use third-party carriers and are not liable for delays or damage caused by the carrier beyond what the carrier's own liability covers.
6. Payment Terms
All payments are made in U.S. dollars. Payment is required in full at the time of booking or order. You represent that any payment instrument you provide is your own and that you are authorized to use it. In the event of a chargeback that we reasonably believe to be unwarranted, we may pursue reimbursement of the original amount plus related fees and reasonable costs of collection.
7. Intellectual Property
All content on this website — including text, graphics, photographs, logos, and the SouthCentral ECC name and mark — is owned by SCECC or its licensors and is protected by copyright, trademark, and other laws. You may not reproduce, distribute, modify, or create derivative works from any content without our prior written consent, except as permitted by the limited personal-use license implicit in normal browser access.
Deliverables produced for you in the course of an engagement are licensed, not transferred, to you for your internal use only unless we expressly agree in a signed writing to transfer ownership. We retain all pre-existing know-how, methods, templates, and tools used to produce those deliverables.
8. Disclaimers
The website and all services are provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise, to the maximum extent permitted by applicable law. SCECC expressly disclaims all warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted operation.
Any recommendation, advice, or finding provided by SCECC is offered for your consideration only; you remain solely responsible for the decisions you make and the actions you take based on our work product. We do not guarantee specific results.
9. Limitation of Liability
To the maximum extent permitted by applicable law, SCECC, its members, officers, and employees shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, data, or use, arising out of or related to these Terms or your use of the website or our services, even if advised of the possibility of such damages.
Our aggregate liability for any and all claims arising out of or related to these Terms or our services shall not exceed the greater of (a) the amounts paid by you to SCECC in the three (3) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).
10. Indemnification
You agree to indemnify, defend, and hold harmless SCECC, its members, officers, employees, and agents from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your breach of these Terms, (b) your use of the website or our services, (c) your violation of any law or the rights of any third party, or (d) your use of any deliverable produced in an engagement.
11. Governing Law and Venue
These Terms are governed by the laws of the State of Louisiana, without regard to its conflict-of-laws principles. Subject to the arbitration provision below, the parties consent to exclusive jurisdiction and venue in the state and federal courts located in Caddo Parish, Louisiana.
12. Binding Arbitration; Class Waiver
Any dispute, claim, or controversy arising out of or related to these Terms, the website, or our services shall be resolved by binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, in Shreveport, Louisiana, before a single arbitrator. Each party bears its own attorneys' fees and costs except as an arbitrator may otherwise award.
You and SCECC each waive the right to a jury trial and the right to participate in any class, collective, or representative action. If this class waiver is held unenforceable, the entire arbitration provision shall be void.
13. Changes
We may modify these Terms at any time by posting updated Terms on this page and updating the "Effective" date. Your continued use of the website or our services after the effective date of any update constitutes your acceptance of the updated Terms.
14. Miscellaneous
These Terms and the Privacy Policy and Cancellation Policy constitute the entire agreement between you and SCECC with respect to the subject matter. If any provision is held unenforceable, the remaining provisions will remain in full force. Failure to enforce any provision is not a waiver of it. These Terms are not assignable by you without our written consent. We may assign them freely.
